Our rights responsibilities and Your rights and responsibilities
- DEFINITIONS - "DC" "Us" "We" or "Owner" means Colonial Telecommunications, Inc. d/b/a Duke Communications. "DUKE" means G. T. Diggs, Jr. t/a Duke Communications; "You" "Your" or "Renter" means you, the renter or purchaser of the Equipment. "Parties" refers to You and to Us. "Site" or "Web Site" refers to www.duketel.com "Equipment" means hardware and / or software provided by Us to You under this contract. "Contract Period" or "Term" means the Rental / Lease Term as herein described. "RMSA" means a Rental and Maintenance Service Agreement, and refers to the maintenance included with this Rental / Lease agreement.
- EQUIPMENT - The Equipment quantity and description shall be identified upon the invoice rendered from us to you and is incorporated herein by reference. If additions or deletions to the quantity of telephone sets or other Equipment You rent from Us are made during the Term of this the monthly Rental / Lease contract, the monthly Price may be adjusted upward or downward accordingly during the current Term.
- ACCEPTANCE - Acceptance and / or use of Equipment establishes a legally binding contract between Owner and Renter and constitutes Your agreement to the terms herein state.
- CHARGES - System rental / lease Prices are as listed above or on the Rental page of this Site and include maintenance as described upon the Service Page of this Site and are provided to You at no additional charge. See the Service Page of this Site for details and exclusions. Charges may be adjusted as described in 2 above during the Term of this contract.
- INSURANCE / LOSS / RESPONSIBILITY - You are responsible for certain losses and You are responsible to provide your own insurance to cover loss due to Abuse, Fire, Flood, Theft, Vandalism, Lightning or other Acts of God. We are responsible for maintenance of the Equipment for ordinary wear and tear only.
- CHANGES - Adds, Moves and Changes to the system may be made only by authorized Duke Communications personnel.
- TERM - The Minimum Rental / Lease Term is twelve (12) months, unless otherwise agreed in writing by the parties. Rental / Lease fees are paid monthly in advance unless quarterly or annual payment therefore is otherwise agreed by parties. If cancellation is desired by either Party, written notice 30 Days prior to the end of twelfth (12th)-month of the then current Rental / Lease Period is required. Otherwise, and / or by continued use of equipment, Renter agrees to renewal from time to time for additional twelve (12) month term(s).
- ACCESS - Reasonable access to the equipment for maintenance or inspection is to be granted Owner by Renter during reasonable business hours. Upon default, access is as stated in 10 below.
- TAXES - All taxes are in addition to the published rental fees. We are required to collect and pay Virginia Sales Tax; You are responsible for and must pay any other taxes imposed, including without limitation any applicable personal property tax, or any other Federal, State or Local taxes directly to the jurisdiction charging such tax and any and all other taxes arising from the rental or use of the Equipment.
- BREACH / DEFAUL / ENFORCEMENT - In the event of default in payment, other material breach of this agreement, or enforcement of these Terms, Renter, Purchaser, or User of our Services, agree(s) to pay an accelerated balance due on the remainder balance, if any, of the contract Term. You further agree to pay to Us attorney fees and costs in connection with collection and /or enforcement of the Terms herein, whether or not suit is actually filed; any necessary fees for recovery of Equipment, and grants Us the right of immediate and unlimited access to retrieve any rental / leased equipment on whatever premises located, whatsoever and howsoever situated, and agrees hereby such entry and or recovery is to be deemed legally agreed, including interruption of telephone and or data service(s), and You indemnify and hold harmless Us against any action in connection with such recovery, particularly trespassing, be they criminal or civil in nature.
- CHOICE OF LAW, VENUE - It is agreed that this contract will be governed and construed under Virginia law and venue is hereby agreed to be in Williamsburg, Virginia.
- SEVERABILITY - If any part of this contract is declared void or unenforceable by a court of competent jurisdiction, any remaining parts shall remain in full force and effect.
- FORCE MAJEURE - DC’s performance under this Agreement shall be excused if DC is prevented or delayed in performing its duties hereunder by reason of war, insurrection, terrorist act, civil commotion, any act, decree, or order of any governmental authority, labor dispute or any other cause beyond the control of DC. In the event of any such suspension of service DC shall use its best efforts to provide service as soon as practical.
- OTHER - Acceptance and / or use, and / or continued use, of Equipment or services by You constitutes agreement to this contract and the terms herein; agreement with these Terms and Conditions, to any other Site pages referred to herein, and as may be modified from time to time; to the fees listed on the Price Page portion of this Site, plus any applicable taxes, and to the Terms of Service specified upon the Service Page of this Site, and as may be amended from time to time as provided herein. This constitutes the entire and only agreement between the parties. This contract may be modified by US from time to time and upon such modification becomes binding unless within 30 days of such change written notice is provided by YOU to US. Use or Continued use of the Equipment and or Services constitutes agreement and is as binding as if signed below. You hereby authorize and consent to use of your electronic signature.
